Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you and Individual Entrepreneur Baran Mykola Ihorovych ("ФОП Баран Микола Ігорович"), a sole proprietor registered in Ukraine ("StellPanel", "we", "us"), governing your access to and use of the StellPanel booking, business-management, and website platform (the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility — Business Use Only

The Service is offered exclusively for business and professional use. By registering, you confirm that you are acting as a business, sole trader, or other self-employed professional, in the course of your trade, business, or profession — not as a consumer acting for personal, family, or household purposes.

This matters legally: consumer-protection rules that apply to purchases made by private individuals for personal use (including the EU/UK 14-day right of withdrawal for digital content) do not apply to business-to-business contracts like this one. If you are not acting for business purposes, please do not use the Service.

You must be able to form a legally binding contract to accept these Terms.

3. Your Account

You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately at support.stellpanel@gmail.com if you suspect unauthorized use of your account.

You must provide accurate information when registering and keep it up to date.

4. The Service

StellPanel provides a booking engine, an administrative dashboard for managing your team, schedules, and branches, and an optional public website and booking widget for your business. The Service is provided as an evolving product; features may be added, changed, or removed over time.

5. Subscription and Pricing

The Service is billed per business you operate on the platform ("quantity"), not per employee or branch — current pricing is published at stellpanel.com/pricing and may change with reasonable notice.

If you operate more than one business, you are billed once per billing cycle for all of them combined, not separately for each business.

6. Free Trial

The first business you register receives a 7-day free trial, no payment method required. Each account is entitled to one such trial. Additional businesses you register afterward do not receive an independent free trial and, depending on your subscription, may require immediate payment to remain active.

7. Payment Processing

Subscription payments are processed by Paddle.com Market Ltd ("Paddle"), acting as merchant of record for these transactions. This means Paddle — not StellPanel — is the seller of record for your subscription purchase, and is responsible for processing your payment, issuing receipts, and collecting and remitting applicable taxes (such as VAT or sales tax) on the transaction.

By subscribing, you also agree to Paddle's own terms of sale and privacy practices for payment processing. StellPanel does not receive or store your full card details.

8. No Refunds

All subscription payments are final and non-refundable, including for partially used billing periods, except where a refund is required by mandatory law that cannot be excluded by agreement.

Because the Service is provided for business use (Section 2), you acknowledge that, to the extent any statutory right of withdrawal for digital content might otherwise apply, you expressly request immediate access to the Service upon payment and, where applicable, waive any such right of withdrawal once access has been granted.

We adopt this policy because subscription revenue funds ongoing infrastructure and support costs from the moment access is granted, and a no-refund policy keeps pricing, accounting, and tax treatment simple and predictable for everyone.

9. Cancellation and Deactivation

You may cancel your subscription at any time. Access continues until the end of your current paid period; we do not provide prorated refunds for the unused portion.

If a business's subscription lapses or its free trial expires without payment, that business is deactivated (access restricted) rather than deleted — your data is preserved so you can reactivate later.

If you have more businesses than your paid quantity covers, the businesses that remain active are chosen automatically (the businesses you created earliest are kept active) unless you select otherwise where the Service allows it.

10. Suspension for Abuse

We may suspend or terminate access to the Service, without refund, if we reasonably believe you are using it fraudulently, unlawfully, or in violation of these Terms, including attempts to bypass subscription limits or trial restrictions.

11. Acceptable Use

You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access to any part of the Service or another user's account; interfere with or overload our infrastructure; reverse-engineer or copy the platform's software; or use the booking or messaging functionality to send spam or unsolicited communications to third parties.

You are responsible for all content and data you or your staff enter into the Service, including your business website content and your clients' data.

12. Your Clients' Data

When you use the Service to collect data about your own clients (name, phone, email, booking notes), you act as the data controller for that data, and StellPanel acts only as your data processor, following your instructions (see our Privacy Policy, Section 4).

You are responsible for having a lawful basis to collect and use your clients' data, and for complying with the data protection law that applies to your business — including the GDPR, UK GDPR, Ukrainian Law No. 2297-VI, or applicable US state law, depending on where you and your clients are located.

13. Intellectual Property

StellPanel and its underlying software, design, and branding are our property. We grant you a limited, non-exclusive, non-transferable right to use the Service for your business while your subscription or trial is active.

You retain all rights to your own business content, branding, and data (including your clients' data) that you upload or enter into the Service.

14. Service Availability

We aim to keep the Service available and reliable, but we do not currently guarantee a specific uptime percentage or service level. We may perform maintenance, and features may change, be limited, or be discontinued from time to time.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the maximum extent permitted by applicable law.

16. Limitation of Liability

To the maximum extent permitted by applicable law, StellPanel will not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, revenue, or data, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

17. Indemnification

You agree to indemnify and hold StellPanel harmless from any claim, loss, or damages, including reasonable legal fees, arising from your misuse of the Service, your content or data, or your violation of these Terms or applicable law.

18. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access as described in Sections 9 and 10. Provisions that by their nature should survive termination (including Sections 8, 16, 17, and 19) remain in effect.

19. Governing Law and Disputes

These Terms are governed by the laws of Ukraine, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of Ukraine, unless mandatory law applicable to you provides otherwise.

20. Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date, and, for material changes, notify account holders by email. Continued use of the Service after changes take effect means you accept the updated Terms.

21. General

These Terms, together with our Privacy Policy, form the entire agreement between you and StellPanel regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
